This document contains Terms and Conditions that specifically related to our Hosted Microsoft Exchange services. They should be read in conjunction with a standard Terms and Conditions.

From time to time we may need to update these terms. We will announce changes on our website, blog, social media and through notifications in MyAccount.

Who is Calzada Media?

Calzada Media Limited is a limited company registered in England & Wales, registered number 07793929. Our registered office is situated at 2 Mars Drive, Wellingborough, Northamptonshire, NN8 1RJ

For simplicity throughout these Terms, “we”, “us” and “our” means Calzada Media Limited. “You” and “Your” means any visitor or user of our websites and our services. “Customer” means any person, group of people or organisation that have registered a customer account with Calzada Media Limited. “Policy” means this privacy policy. “MyAccount” means our online customer portal. “Hosted Microsoft Exchange”, “Hosted Exchange” and “Service” means our Hosted Microsoft Exchange service. “Suppliers” and “Supplier” means the company we procure Hosted Microsoft Exchange services from, Giacom World Networks Ltd.

Hosted Exchange Terms and Conditions

By using Calzada Media to provide Hosted Microsoft Exchange services, you automatically agree to our terms and conditions below. The contract between you and Calzada Media Limited is subject to the following:

  1. If you represent a group of people or an organisation, you must have authority to apply for Hosted Exchange services and the authority to supply the personal information required for Service operation.
  2. By using our Hosted Exchange service you agree to keep Calzada Media Limited, directors and our Suppliers fully and effectively indemnified at all times; and indemnify Calzada Media Limited, its directors and our Suppliers accordingly against all costs, claims, liabilities actions and expenses arising directly or indirectly through your choice and use of the Hosted Exchange services, or by any breach by you of your obligations contained herein.
  3. You may apply and/or register for Hosted Exchange services on behalf of somebody else providing you have authority to do so. You may not re-badge, rename or otherwise disguise this Service is provided by us. If you apply and/or register for the Service without the permission and the knowledge of its final user and then sell it to them, you do so without our knowledge or consent. Breach of this term will result in cancellation of the Service.
  4. If you apply and/or register for this Service on behalf of somebody else (for example, a client) we will first seek payment from you. If you do not pay the fees for whatever reason, we will have the right to recover the fees from the client.
  5. The initial contractual period can be from 1 Month to 1 Year depending on the Hosted Exchange product selected. Thereafter, you may renew Service through a new contract offered at our discretion for a further desired period dependent on the Hosted Exchange products we offer you.
  6. Contracts operate on a rolling basis with defined start and end dates. Once a contract expires you will be offered a new contract along with an invoice for fees due. If payment is not received by the due date specified on the invoice, the Service will be suspended until such time payment is received in full. Reinstatement of a suspended Service will be at our discretion.
  7. You may cancel the Service by notice in writing to Calzada Media Limited.
  8. Calzada Media Limited’s liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, or otherwise arising in connection with the performance or contemplated performance of this agreement relating to domain names shall be limited to the total cost of the Hosted Exchange service for the contracted period.
  9. We may cancel or suspend the Hosted Exchange in exceptional circumstances by notice in writing to you. Exceptional circumstances include: where to maintain the Service would put Us in conflict with our contractual and legal obligations, or the terms of a Court Order or where the Supplier or service is operating in a manner in conflict with Our rules for Hosted Exchange Services.
  10. It is agreed that Calzada Media will not transfer a Service to another service provider until any outstanding balance over 30 days is paid in full. It is agreed that in the event of an unpaid invoice or outstanding balance for any service provided us, we have the right to suspend or remove any other service, product or software you may have with us. Furthermore, in the event of suspension or cancellation of service it is agreed that you will indemnify Calzada Media Limited and any of its employees from any damages or loss of consequential business.
  11. We procure our Hosted Exchange services through Giacom World Networks Ltd and we reserve the right to vary these conditions as a result of changes required by these providers. Furthermore, we will not be held liable if Giacom World Networks Ltd’s services are unavailable or faulty.
  12. You agree for Calzada Media Limited to share data with Mesh Digital Limited that is required for the purposes of service setup, configuration and management.
  13. Any attempt made to contact Calzada Media through the website, MyAccount, or via the support ticket system will be responded to in a maximum of seven business days.
  14. You also agree to the Calzada Media terms and conditions.
  15. We reserve the right to alter these terms and conditions for Hosted Exchange Services without prior notice.
